By accessing or using Nexabilis ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service. These Terms apply to all users, including visitors, customers, and contributors of content.

Nexabilis provides a cloud-based business management platform including, but not limited to: CRM, unified inbox, AI assistant, inventory management, invoicing, and a public storefront builder. The features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must: • Be at least 18 years old. • Provide accurate, current, and complete information during registration. • Maintain the security of your password and notify us immediately of any unauthorized use. • Be responsible for all activity that occurs under your account. You may not use another user's account without permission. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

Nexabilis is offered on a subscription basis. By subscribing, you agree to the following: • Billing Cycle: Subscriptions are billed monthly or annually in advance. • Payment: All payments are processed by Stripe. By providing your payment details, you authorize us to charge your payment method on a recurring basis. • Refunds: We offer a 14-day money-back guarantee for new subscribers. After this period, all payments are non-refundable. • Price Changes: We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing. • Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing period.

You agree not to use the Service to: • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable. • Impersonate any person or entity or misrepresent your affiliation. • Engage in any form of automated data collection (scraping, crawling) without our express written consent. • Attempt to gain unauthorized access to any portion of the Service or its related systems. • Use the Service in any manner that could interfere with, disrupt, or negatively affect the Service or servers connected to the Service. • Violate any applicable local, state, national, or international law.

The Service and its original content (excluding user-submitted content), features, and functionality are and will remain the exclusive property of Nexabilis Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Nexabilis Inc. You retain ownership of all content you submit to the Service. By submitting content, you grant Nexabilis a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of operating and improving the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices. You are responsible for ensuring that any personal data you upload about third parties (e.g., your customers) complies with applicable data protection laws, including obtaining any necessary consents. You act as the data controller for such data; Nexabilis acts as a data processor on your behalf.

To the maximum extent permitted by law, Nexabilis Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or your use of the Service. Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid to Nexabilis in the 12 months preceding the claim.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in San Francisco, California.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice before changes take effect for material changes. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
